Retail & Apparel Board Index 2009

Each year, we review the governance trends among retail and apparel companies through our annual Retail & Apparel Board Index, which examines the board composition and practices of the leading retail and apparel companies in the United States. This year’s index includes data from 101 retail and apparel companies with retail businesses generating at least $1 billion annually.

  • The percentage of retail and apparel boards splitting the chairman and CEO roles increased from 39 percent in 2008 to 48 percent today.
  • Three-quarters of all retail and apparel boards in our index have named a lead or presiding director.
  • Ninety percent of retail and apparel boards have at least one female director, compared with 89 percent of S&P 500 boards.
  • Boards are increasingly likely to have one-year terms: 65 percent of retail and apparel boards have a one-year term length, compared with 63 percent in 2008.
  • The average retainer paid by retail and apparel boards is $62,300, 10 percent more than the 2008 average.
