Separating the CEO and Chairman Roles

Each board should decide which governance model is right for it, based on the board and company circumstances. The primary objective should be the board's independence from management and the need for board leadership to deal with those matters of governance where independence matters. Moving to the nonexecutive chair model requires careful planning and thoughtful execution.
